These Terms and Conditions govern the relationship between Elba J. Colon (the "Coach") and the Client regarding the Coaching Program. By engaging in the coaching services, the Client agrees to comply with these Terms and Conditions.

The website www.inspiredbyelba.com (referred to as the "Website") is owned and operated by 314 Able Enterprises LLC, do business as (DBA) Awaken the Sacred Woman. Throughout these Terms and Conditions, any references to "we," "our," or "us" pertain to 314 Able Enterprises LLC DBA Awaken the Sacred Woman. By using or accessing this Website, you acknowledge that you are engaging with a business entity legally registered as 314 Able Enterprises LLC, operating under the trade name Awaken the Sacred Woman. Your use of the Website constitutes acceptance of these terms and your agreement to interact with the business entity as described.

Description of Coaching

Coaching is a partnership designed to facilitate the Client's personal and professional growth. It involves a thought-provoking and creative process to develop and achieve personal, professional, or business goals. Coaching services are non-therapeutic and are intended for Clients seeking to enhance their performance or improve their circumstances.

1. Coach-Client Relationship

1.1 Responsibilities of the Coach

The Coach agrees to attend scheduled sessions, select discussion topics, and assist the Client in pursuing meaningful goals.

1.2 Responsibilities of the Client

The Client is solely responsible for their physical, mental, and emotional well-being. The Client acknowledges that coaching is not a substitute for therapy or professional mental health treatment and agrees that the Coach is not liable for any actions or results arising from the coaching relationship. The Client may terminate the coaching relationship at any time.

1.3 Scope of Coaching

Coaching may involve various areas of the Client’s life, including work, finances, health, and relationships. The Client agrees to manage these areas independently and to apply coaching principles.

1.4 Professional Guidance

Coaching does not involve the diagnosis or treatment of mental disorders. The Client is responsible for seeking professional guidance when necessary and is encouraged to inform their mental health provider about the coaching relationship.

1.5 Client Commitment

To enhance the coaching relationship, the Client agrees to communicate honestly, remain open to feedback, and dedicate the necessary time and energy for active participation in the program.

2. Services

The program consists of a predetermined number of months and sessions, agreed upon at the start of the program. Coaching sessions will be conducted through online meetings. The Coach will be available via email, text, and online messenger (Voxer) between sessions. Emergency calls may occur without additional charges, limited to the number agreed upon at the start of the program.

3. Schedule and Fees

The total fee for the coaching program is agreed upon at the start of the program, payable via credit or debit card. All fees are non-refundable. Additional sessions may be scheduled at the Coach's discretion. Sessions will last up to 90 minutes. Rate changes prior to signing this document will be communicated.

4. Procedure

The timing and location of coaching sessions will be determined by the Coach and conducted via the Coach’s personal Zoom meeting or through phone calls.

5. Confidentiality

The Coach-Client relationship is not legally confidential as in medical or legal professions. The Coach agrees not to disclose any Client information without written consent. Confidential information excludes information that:

  • was in the Coach's possession prior to disclosure;

  • is public knowledge;

  • is obtained from a third party without obligation;

  • is independently developed by the Coach;

  • must be disclosed by law or court order;

  • indicates imminent risk of harm; or

  • involves illegal activities.

The Client is encouraged to raise any confidentiality concerns promptly.

6. Refund Policy

Refunds are not available due to the commitment inherent in our terms and conditions. All sales are final, and no cancellations or refunds are permitted.

7. Termination of Coaching Services

Either party may terminate these Terms and Conditions with two weeks' written notice. The Client agrees to compensate the Coach for all services rendered during the coaching term.

8. Limited Liability

The Coach makes no guarantees regarding outcomes from the coaching services. The Coach is not liable for any indirect, consequential, or special damages. The Client assumes all risks associated with the coaching services.

9. Entire Terms

These Terms and Conditions represent the entire understanding between the Coach and Client. Amendments must be made in writing and signed by both parties.

10. Dispute Resolution

If a dispute arises that cannot be resolved amicably, both parties agree to mediate in good faith for up to 90 days. If unresolved, the prevailing party shall be entitled to recover attorney's fees and court costs.

11. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

12. Waiver

Failure to enforce any provision of these Terms does not waive the right to enforce it later.

13. Earnings Disclaimer

The Coach makes no guarantees regarding the Client’s success or income levels. Results vary based on individual capacity and circumstances. The Client agrees not to hold the Coach liable for any business outcomes.

14. Applicable Law

These Terms shall be governed by the laws of the State of Ohio.

15. Binding Effect

These Terms shall bind both parties and their successors or permitted assigns.

By participating in the Coaching Program, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
